We have an immediate opening for an in-house General Counsel located in our corporate office location.
The position will report to the company's Executive Chairman.
The General Counsel will provide senior management with effective advice on company strategies and their implementation; will manage the legal functions; will obtain and oversee the work of outside counsel; and will assist Human Resources and Divisional Leadership.
KEY AREAS OF RESPONSIBILITY: Participate in the definition and development of corporate policies, procedures and programs.
Provide continuing counsel and guidance on legal matters and on legal implications of all matters.
Serve as key lawyer/legal advisor on major business transactions, including acquisitions, divestitures and joint ventures.
Judge the merits of court cases filed against or on behalf of the company, work with the appropriate executive(s) to define a strategic defense and approve settlements of disputes where warranted.
Review contracts for division personnel and recommend changes.
Selection, retention, management and evaluation of all outside counsel.
Assist Human Resources with employement issues.
Review benefits renewal with Benefits AdministratorREQUIREMENTS: BA/BS and JD degrees required.
Licensed Attorney at Law and admitted to practice in Arizona and possibly other jurisdictions through a multijurisdictional practice.
Background and skills need include: At least 5 years of legal experience; in-house experience strongly preferred;Excellent ability to navigate and influence complex negotiation processes within organization;Excellent history of quickly building relationships, gaining credibility and partnering with business leaders and peers;Strong teamwork, communication and presentation skills;Strong knowledge of commercial contracts, intellectual property concepts and commercial background;Creative, problem-solving and decision-making skills;Flexible and adapts to change;Demonstrated time management and organizational skills;Strong leadership skills and the ability to work as part of a team as well as independently;Familiarity with international contracting, OFAC, EAR, FCPA.
