Basic Purpose: Reviews and supervises all aspects of Eaton Vance's ("EV") ongoing assessment of its internal control of financial reporting for its investment products.

Primary Responsibilities: Primary oversight of various scoping and risk assessments for compliance, internal controls and disclosure controls related projects and programs Act as primary liaison to the internal and external auditors and other interested parties for various internal control and compliance related requests Coordinating preparation efforts and leading discussions in compliance and internal control and disclosure control related meetings Creating and strengthening relationships with outside service providers and joint venture partners Understanding and documenting business processes and workflows between various departments and outside service providers and assessing the internal control environment pertaining to such processes and workflows Assisting in implementing, maintaining and continually enhancing a repository system of internal controls and disclosure controls for various projects and programs Creating, performing, executing, documenting or reviewing control activity test and review plans Preparing and presenting internal control project and program findings, conclusions and recommendations to the team and management <LI CONTINUALLY RESEARCHING AND INTERPRETING DEVELOPMENTS WITH RESPECT TO SOX AND OTHER COMPLIANCE AREAS TO DETERMINE THEIR IMPACT EVM S INVESTMENT PRODUCTS Identifying, developing and directing the implementation of new policies and procedures necessary to ensure a strong, sustainable internal control structure Improving the efficiency and effectiveness of compliance and internal control projects and programs Ensuring that the necessary documentation exists for new or revised processes related to SOX compliance and that the documentation is maintained and updated to reflect such changes Reviewing, monitoring and reporting results of various investment products' outside service providers' control activities as they impact internal control and disclosure control projects and programs Anticipating and managing changes made to internal controls and disclosure controls over financial reporting including a.

Assisting in determining implications of changes b.

Updating scoping and identifying new risks c.

Assisting in the development of policies and procedures; and d.
